Reader's Digest to file for bankruptcy

The publisher of Reader's Digest, the most popular US general interest magazine, has said it will file for bankruptcy protection with a plan to swap a portion of its debt for ownership of the company.

Reader's Digest Association, owned by the New York private equity firm Ripplewood Holdings since 2007, said overnight it had reached an agreement in principle with a majority of secured lenders to erase a portion of the $US1.6 billion ($1.93 billion) they hold in senior secured notes. The lenders will get ownership in return.

The planned filing, which does not include operations outside the United States, comes amid declining circulation, an industry-wide advertising slump and large debts.

Reader's Digest, the monthly magazine founded in 1922 as a collection of condensed articles from other publications, has been searching for a niche as the internet upends the magazine industry's traditional business models.

This year's ad declines saw the closing of several high-profile titles including Conde Nast's Portfolio, Domino and Blender.

In June, Reader's Digest announced it would cut the circulation guarantee it makes to advertisers to 5.5 million, from 8 million and lower its frequency to 10 issues a year from 12.

In the second half of last year, the US edition of Reader's Digest had circulation of 8.2 million, 2 per cent above the guarantee to advertisers but 12 per cent below circulation a year earlier. Its decision to adjust to rate base suggests expectations that circulation will drop further.

The company said it will skip a $US27 million ($32.56 million) interest payment on its 9 per cent notes due in 2017 while it looks to build support among lenders for its restructuring plans.

In a statement, Reader's Digest CEO Mary Berner said the agreement follows "months of intensive strategic review of our balance-sheet issues."

The agreement includes $US150 million ($180.88 million) in Debtor-in-Possession loans to finance the company during bankruptcy protection. Overall, the company plans to shrink its debt from $US2.2 billion ($2.65 billion) to $US550 million ($663.21 million) following reorganisation.

It said the "vast majority" of suppliers will be paid in full under the bankruptcy plan.

The company said it will seek further agreements from lenders and other stakeholders before making a formal bankruptcy filing within a month.

Aside from Berner, all of the company's board members who have served since Ripplewood's $US1.6 billion ($1.93 billion) acquisition of the company in 2007 have resigned. Two members who recently joined will continue to serve.

yet i know in the deepest part of my being that

something has changed. i am no longer bound by doubts (by God's Grace) and

thoughts of materialisms.

there is a clarity of consciousness that is profound.

and now, i'm excited and expectant about my future, i know and i faithfully believe

that i'll be growing spiritually more and will be developing in other ways as well.

he develop me through his Loving and Gracious Heart. God is Good. really.!

My Plan for the Holy week.

Im very excited and luking forward this ApriL 8… I claim it! gagraduate na kuh!....hehe.
But the first thing I wud want to do after final exam is to go at the prayer mountain, maybe during Holy Week. I really wanted to go there ever since and I rili want to experience the whole week of just seeking God’s will and solemnly searching for his heart. Yeah, I know, puedi nmn ganun araw-araw but wat I mean is yung tipong focus ka tlga, yung walang abala at maiingay na kapaligiran..;) that all u gonna do is to pray and read his word. Hay..tsk.tsk.
Why telling you this? , It’s bcoz maybe you have the same plan in mind..?

... Wlang gagastusin, transpo na lng, kasi may tutluyan na tayo for free…=)
